By accessing or using the Valence Grade website, placing an order, or receiving any product from Valence Grade, you agree to be bound by these Terms of Service in full. If you do not agree to these terms, do not use this website or place any orders. These terms apply to all visitors, users, and customers.
All products sold by Valence Grade are designated "Research Use Only" (RUO). They are intended solely for in-vitro laboratory research, preclinical studies, and scientific investigation. They are not intended for human or veterinary use, and are not approved by the US Food and Drug Administration (FDA) for any diagnostic, therapeutic, or clinical application. By purchasing, you affirm that you are a qualified researcher and that all products will be used exclusively for lawful research purposes in compliance with all applicable federal, state, and local laws.
You must be at least 18 years of age to purchase from Valence Grade. Orders are fulfilled for delivery within the United States only. You are solely responsible for verifying that purchasing, possessing, and using these compounds is lawful in your jurisdiction. Valence Grade makes no representation regarding the legal status of its products outside the current US federal regulatory framework. Regulatory status is subject to change without notice.
We make reasonable efforts to ensure that product descriptions, specifications, and purity data are accurate. However, product descriptions do not constitute therapeutic claims, medical recommendations, or warranties of any kind. Product availability, pricing, and specifications are subject to change without notice. Certificate of Analysis (COA) data represents the specific batch tested and may vary between lots.
A completed purchase constitutes a binding agreement between you and Valence Grade. Payment must be received and cleared before any order is fulfilled and shipped. We reserve the right to refuse, cancel, or limit any order at our sole discretion, including orders that appear to be placed for non-research purposes or by buyers who have previously violated these terms. Pricing is in US dollars and does not include applicable taxes or shipping fees unless stated at checkout.
Valence Grade ships within the United States only. Estimated delivery dates provided at checkout are carrier estimates and are not guaranteed. Risk of loss and title for products pass to the buyer upon our delivery of the order to the carrier. Valence Grade is not responsible for carrier delays, lost packages after confirmed delivery, or packages seized by customs or law enforcement due to the buyer's failure to comply with applicable regulations.
Due to the Research Use Only (RUO) classification of all products sold by Valence Grade, and to preserve chain of custody integrity required under research compliance standards, all sales are considered final once an order enters fulfillment. Opened or used products cannot be returned under any circumstances. Unopened products in completely intact condition with an unbroken COA seal may be considered for return within 7 days of confirmed delivery — you must contact support@valencegrade.com before returning any item, as unauthorized returns will not be accepted. Approved returns are subject to a 15% restocking fee to cover handling, re-inspection, and chain-of-custody documentation. Refunds are issued to the original payment method within 5–7 business days of receipt and inspection. Initiating a chargeback or payment dispute for any order fulfilled in accordance with these terms constitutes a breach of this agreement and will be treated as fraud. All transactions are documented with full order records, IP data, and delivery confirmation. Fraudulent chargebacks will be contested in full and referred to collections and legal counsel where appropriate.
To the maximum extent permitted by applicable law, Valence Grade's total liability to you for any claim arising out of or relating to these terms or your purchase shall not exceed the purchase price of the specific product giving rise to the claim. In no event shall Valence Grade be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, personal injury, or property damage, whether based in contract, tort, strict liability, or any other theory, even if Valence Grade has been advised of the possibility of such damages.
You agree to indemnify, defend, and hold harmless Valence Grade, its officers, employees, agents, and suppliers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of any product purchased from Valence Grade; (b) your violation of these terms; (c) your violation of any applicable law or regulation; or (d) your unlawful possession or administration of any compound.
Products are sold "as-is" for research purposes only. Valence Grade makes no warranty, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. No information provided on this website — including research library articles, product descriptions, or COA data — constitutes a warranty of any kind. The entire risk as to the quality, performance, and use of the product is with you.
These Terms of Service and any dispute arising out of or relating to them or your use of this website shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law provisions. You consent to the exclusive jurisdiction of the courts located in Delaware for resolution of any such dispute.
Valence Grade reserves the right to update or modify these terms at any time without prior notice. Changes are effective immediately upon posting to this page. Your continued use of the website or placement of any order following any changes constitutes your acceptance of the updated terms. We encourage you to review this page periodically.
